  • Illegal Activities: Using our Services to engage in any activity that violates applicable federal, state, or local law or regulation, including but not limited to health and safety regulations, consumer protection laws, or anti-fraud statutes.
  • Circumvention of Security: Attempting to bypass, disable, or interfere with security-related features of the Site, including features that prevent or restrict copying of content.

Via 313 reserves the right to investigate suspected violations of these Terms and to take appropriate action, including suspending or terminating your account, refusing service, reporting violations to law enforcement authorities, and pursuing all available legal remedies.

4. Intellectual Property Rights

The Site and all of its original content, features, functionality, design elements, graphics, logos, trademarks, trade dress, service marks, text, images, audio, video, and software are owned by Via 313 or its licensors and are protected by United States intellectual property laws, including but not limited to the Copyright Act (17 U.S.C. § 101 et seq.), the Lanham Act (15 U.S.C. § 1051 et seq.), and applicable state laws.

All trademarks, service marks, and trade names used on the Site are proprietary to Via 313 or their respective owners. Nothing in these Terms grants you any right or license to use any trademark, service mark, logo, or trade name of Via 313 without our prior written consent.

Subject to your compliance with these Terms, Via 313 grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Site and its content solely for your personal, non-commercial use in connection with the Services. Delivery fees, service charges, and gratuity (where applicable) will be disclosed prior to order completion.

5.2 Payment Processing

We use third-party payment processors to handle all financial transactions. By providing your payment information, you also agree to the terms and privacy policies of those payment processors. Via 313 does not store full credit card numbers on its servers. All payment transactions are encrypted and processed in compliance with applicable Payment Card Industry Data Security Standards (PCI DSS).

5.3 Refunds and Cancellations

Due to the perishable nature of food products, all sales are generally final once an order has been confirmed. However, if you experience a problem with your order — such as receiving incorrect items, items in poor condition, or an incomplete order — please contact us within 24 hours of receipt at [email protected]. We will review your complaint and, at our discretion, offer a replacement, store credit, or refund where warranted.

Order cancellations may be accepted if the order has not yet been prepared. Once food preparation has begun, cancellations may not be possible, and no refund will be issued. We reserve the right to refuse or cancel orders at our discretion, including in cases of pricing errors, suspected fraud, or unavailability of items.

5.4 Promotional Codes and Discounts

Promotional codes, coupons, and discounts are subject to their individual terms and conditions. They may be subject to expiration dates, minimum purchase requirements, or restrictions on use with other promotions. Via 313 reserves the right to modify or cancel any promotion at any time.

6. Limitation of Liability

To the fullest extent permitted by applicable law, Via 313 and its officers, directors, employees, agents, licensors, service providers, and successors shall not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, including but not limited to damages for loss of profits, revenue, goodwill, data, business interruption, or other intangible losses, arising out of or related to:

  • Your access to or use of (or inability to access or use) our Services or Site;
  • Any conduct or content of any third party on or connected to the Site;
  • Any content obtained from the Site;
  • Unauthorized access, use, or alteration of your transmissions or content;
  • Any food allergies, dietary reactions, or health-related issues arising from consumption of our food products;
  • Errors, omissions, inaccuracies, or delays in menu information, pricing, or availability;
  • Delays or failures in delivery services;
  • Interruptions or errors in payment processing.

Whether based on warranty, contract, tort (including negligence), strict liability, or any other legal theory, even if Via 313 has been advised of the possibility of such damages.

In no event shall Via 313's total cumulative liability to you for all claims arising from or related to these Terms or your use of the Services exceed the greater of: (a) the total amount you paid to Via 313 in the thirty (30) days preceding the event giving rise to the claim, or (b) One Hundred U.S. Dollars ($100.00).

Some jurisdictions do not allow the exclusion or limitation of certain warranties or liability, so some of the above limitations may not apply to you. In such cases, our liability will be limited to the maximum extent permitted by applicable law.

7. Disclaimers

Specifically, Via 313 makes no representations or warranties that:

  • The Site or Services will be uninterrupted, timely, secure, error-free, or free of viruses or other harmful components;
  • Any errors or defects on the Site will be corrected;
  • The information and content on the Site are accurate, complete, or up-to-date;
  • The results that may be obtained from the use of the Services will be accurate or reliable;
  • Menu items will be available at all times or in all locations;
  • Food products will meet specific dietary requirements, preferences, or restrictions beyond what is expressly disclosed.

Allergen Disclaimer: Our food products are prepared in facilities that may handle common allergens including but not limited to peanuts, tree nuts, dairy, eggs, wheat, soy, fish, and shellfish. While we make reasonable efforts to provide accurate allergen information, we cannot guarantee that any menu item is completely free from allergens. Customers with severe food allergies should exercise caution and consult with our staff before ordering.

Any reliance you place on information from the Site is strictly at your own risk. We encourage you to verify information independently before making decisions based on content found on our Site.

8. Indemnification

You agree to defend, indemnify, and hold harmless Via 313, its affiliates, licensors, and service providers, and each of their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

Via 313 reserves the right, at your expense, to assume the exclusive defense and control of any matter for which you are required to indemnify us, and you agree to cooperate with our defense of such claims. You agree not to settle any such matter without our prior written consent.

9. Governing Law and Jurisdiction

These Terms of Service and any disputes arising out of or related to them or the Services shall be governed by and construed in accordance with the laws of the United States of America and the applicable state laws of the state in which Via 313 is incorporated or primarily operates, without regard to its conflict of law principles.

You agree that any legal action or proceeding arising out of or related to these Terms or the Services shall be brought exclusively in the federal or state courts of competent jurisdiction located in the United States in the applicable state where Via 313 is headquartered or registered. You hereby irrevocably consent to the personal jurisdiction of such courts and waive any objection to the laying of venue of any such action in such courts.

These Terms are intended to comply with applicable federal consumer protection laws, including the Federal Trade Commission Act (15 U.S.C. § 45), which prohibits unfair or deceptive acts or practices in or affecting commerce. To the extent applicable, we also acknowledge and comply with any state-specific consumer protection statutes applicable to the state(s) in which we operate.

If you are a California resident, you may have additional rights under the California Consumer Privacy Act (CCPA) and the California Privacy Rights Act (CPRA), as further described in our Privacy Policy. Nothing in these Terms is intended to limit or waive any rights you may have under applicable California law.

10. Dispute Resolution

10.1 Informal Resolution

Before initiating any formal legal proceeding, you agree to first attempt to resolve any dispute, controversy, or claim arising out of or relating to these Terms or the Services informally by contacting Via 313 at [email protected]. We will attempt to resolve the dispute informally by contacting you via email. If a dispute is not resolved within thirty (30) days after submission of the informal complaint, either party may proceed to formal dispute resolution as provided below.

10.2 Binding Arbitration

If informal resolution is unsuccessful, you and Via 313 agree that any dispute, controversy, or claim arising out of or relating to these Terms or the breach, termination, or validity thereof shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) in accordance with its Consumer Arbitration Rules, except as modified by this Agreement. The arbitration shall be conducted in the English language in the state where Via 313 primarily operates, or at such other location as mutually agreed by the parties.

The arbitrator shall have exclusive authority to resolve any dispute relating to the interpretation, applicability, enforceability, or formation of this arbitration agreement. The arbitrator's award shall be final and binding on both parties and may be entered as a judgment in any court of competent jurisdiction.

10.3 Class Action Waiver

Notwithstanding the foregoing, either party may seek emergency injunctive or other equitable relief from a court of competent jurisdiction to prevent or enjoin infringement of intellectual property rights or other irreparable harm pending resolution by arbitration. Additionally, claims that are within the jurisdiction of a small claims court may be brought in such court rather than in arbitration.

10.5 Time Limitation on Claims

Any cause of action or claim you may have arising out of or relating to these Terms or the Services must be commenced within one (1) year after the cause of action accrues. Otherwise, such cause of action or claim is permanently barred, to the extent permitted by applicable law.

11. Term and Termination

These Terms of Service shall remain in full force and effect while you use the Site or Services. We may terminate or suspend your access to all or any part of the Services at our sole discretion, without prior notice or liability, for any reason whatsoever, including without limitation if you breach any provision of these Terms.

You may terminate your account at any time by contacting us at [email protected] and requesting account deletion. Upon termination, your right to use the Services will immediately cease.

Upon termination or expiration of these Terms for any reason:

  • All licenses and rights granted to you under these Terms will immediately terminate;
  • You must immediately cease all use of the Site and Services;
  • Any provisions of these Terms that by their nature should survive termination shall survive, including but not limited to: Intellectual Property Rights, Payment Terms (for outstanding obligations), Disclaimer of Warranties, Limitation of Liability, Indemnification, Governing Law, and Dispute Resolution.

We reserve the right to refuse service to anyone for any reason at any time, subject to applicable law. Termination of your account does not relieve you of any obligations to pay outstanding amounts owed to Via 313.

Your interactions with Third-Party Services are solely between you and those third parties. Via 313 shall not be liable for any damages or losses caused or alleged to be caused by or in connection with your use of any Third-Party Services.

13. Food Safety and Health Compliance

Via 313 is committed to maintaining the highest standards of food safety and hygiene in compliance with all applicable federal, state, and local regulations, including standards set forth by the U.S. Food and Drug Administration (FDA), the U.S. Department of Agriculture (USDA), and applicable state and local health department regulations.

We make reasonable efforts to ensure that our food products are prepared, stored, and delivered in accordance with applicable food safety guidelines. However, once food items have been delivered or picked up by the customer, responsibility for proper storage and handling transfers to the customer. Via 313 is not responsible for any illness, injury, or harm resulting from improper handling, storage, or preparation of food items after delivery or pickup.

Our Privacy Policy, which is incorporated into these Terms by reference, describes how we collect, use, disclose, and protect your personal information when you use our Services. These Terms of Service, together with our Privacy Policy and any other legal notices or agreements published by Via 313 on the Site, constitute the entire agreement between you and Via 313 with respect to the subject matter hereof and supersede all prior and contemporaneous agreements, representations, warranties, and understandings, whether written or oral, between you and Via 313 regarding the Services.

No oral or written information or advice given by Via 313 or its authorized representative shall create any warranty not expressly set forth in these Terms. You may not assign or transfer your rights or obligations under these Terms without our prior written consent. Via 313 may freely assign its rights and obligations under these Terms without restriction.

18. Force Majeure

Via 313 shall not be liable for any failure or delay in performing its obligations under these Terms where such failure or delay results from circumstances beyond our reasonable control, including but not limited to: acts of God, natural disasters, pandemics, epidemics, government actions or restrictions, strikes or labor disputes, supply chain disruptions, power outages, internet or telecommunications failures, or other events beyond our reasonable control ("Force Majeure Events"). In such circumstances, our obligations will be suspended for the duration of the Force Majeure Event.
